Important: Verge Five provides business credit education, readiness tools, workflow guidance, and member reports. We do not guarantee credit, funding, vendor approvals, credit scores, underwriting outcomes, bureau reporting, or business results.
1. Agreement to these Terms
These Terms of Service ("Terms") are a legal agreement between you and Verge Five LLC, a limited liability company formed in North Carolina, United States ("Verge Five," "we," "us," or "our"). These Terms govern your access to and use of https://www.vergefive.com, the Verge Five website, member platform, scans, reports, checkout pages, emails, downloads, videos, content, and related services (collectively, the "Website" or "Platform").
By accessing or using the Platform, creating an account, starting a trial, purchasing a membership, downloading a report, or clicking checkout, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you do not have permission to access or use the Platform.
2. Our offers and pricing
We offer digital products, membership access, educational content, scans, readiness tools, reports, and related services. Current prices, plan options, and billing intervals are listed on the Website at the time of purchase. We may offer monthly, annual, trial, promotional, coupon, affiliate, grandfathered, or manually granted access. Prices, features, and promotions may change at any time unless a separate written agreement says otherwise.
Displayed prices may not include all taxes, processor fees, bank fees, currency conversion costs, or charges imposed by third parties unless expressly stated. You are responsible for taxes and fees that apply to your purchase.
3. Purchases and payment processors
Payments are processed by third-party payment processors, currently Stripe. We may add or change payment processors in the future. We are not responsible for the collection, use, sharing, availability, or security of billing information handled by payment processors. Accepted payment methods may include major credit cards, debit cards, or other methods supported by the payment processor at checkout.
You represent and warrant that you have the legal right to use the payment method submitted in connection with any purchase and that the information you provide to us and to the payment processor is true, correct, current, and complete.
4. Memberships, renewals, cancellation, and refunds
Paid memberships may renew automatically at the price and interval shown at checkout unless canceled before renewal. By purchasing a recurring membership, you authorize recurring charges until you cancel.
You may cancel future renewals through the billing portal, account tools if available, or by contacting /contact/. Cancellation stops future billing but does not automatically refund the current billing period. Unless required by law or expressly stated in writing, payments are non-refundable after access is granted. We may issue refunds or credits at our sole discretion.
We reserve the right to cancel, suspend, or refuse a purchase or account for reasons including suspected fraud, misuse, payment failure, chargeback abuse, pricing errors, access errors, unavailable services, or violation of these Terms. If we cancel due to fraud, misuse, chargeback abuse, or violation of these Terms, we may decline a refund to the fullest extent permitted by law.
5. Advance payments, coupons, and promotions
Any advance payment, annual payment, discounted payment, coupon, promotional price, or special access offer is applied only as stated at the time of purchase. Coupons and promotions may be limited, revoked, corrected, or discontinued. If a coupon or price is displayed in error, we may correct the error or cancel the affected transaction.
6. Accounts
When you create an account or receive membership access, you guarantee that you are at least 18 years old and that the information you provide is accurate, complete, current, and authorized. Inaccurate, incomplete, false, or obsolete information may result in suspended or terminated access.
You are responsible for maintaining the confidentiality of your account, password, devices, and email access. You are responsible for all activities under your account. Notify us immediately if you suspect unauthorized access or a security issue.
7. What Verge Five provides
Verge Five is a business credit education and decision-support platform. The Platform may include public visibility scans, business identifier checklists, NAP consistency guidance, business setup modules, videos, readiness tools, vendor and credit card matchers, funding readiness tools, progress reports, sample reports, support resources, and related educational content.
Verge Five is not a lender, credit bureau, law firm, accounting firm, broker-dealer, bank, underwriter, credit repair organization, or guarantor of approvals. The Platform does not submit applications for you unless a separate written service agreement says otherwise.
8. No professional advice or approval guarantees
Content, scans, scores, recommendations, reports, matchers, and readiness labels are educational tools only. They are not legal, tax, accounting, credit repair, investment, lending, underwriting, or financial advice. You should consult qualified professionals before making legal, tax, financial, lending, or credit decisions.
Vendor, lender, bank, card issuer, bureau, directory, Secretary of State, IRS, and third-party requirements may change at any time. A high readiness score, clean report, checklist completion, or "ready" label does not guarantee approval, reporting, funding, credit limits, terms, rates, or business outcomes.
9. User content and business information
You may enter business names, addresses, websites, emails, EIN status, state/entity details, bank readiness details, checklist progress, notes, report data, and other business information. You represent that you have the right to provide that information and that it is accurate to the best of your knowledge. You are responsible for verifying information before using it in applications, public filings, vendor forms, bank forms, lender forms, or reports.
10. Prohibited uses
You agree to use the Platform only in accordance with applicable laws, rules, regulations, and these Terms. You agree not to:
- Impersonate Verge Five LLC, its employees, representatives, affiliates, users, or any other person or entity.
- Misrepresent your identity, affiliation, business information, authorization, or payment information.
- Send spam, junk mail, chain mail, unsolicited promotions, or similar materials through the Platform.
- Engage in conduct that restricts or inhibits another person from using the Platform, harms users, harms us, or exposes us or others to liability.
- Disable, overburden, damage, impair, attack, or interfere with the Platform, servers, databases, security tools, or connected systems.
- Use robots, spiders, scrapers, automation, or similar tools to access, monitor, copy, or extract content or data without written permission.
- Use manual copying, monitoring, downloading, or extraction for unauthorized purposes.
- Introduce viruses, trojan horses, worms, logic bombs, malicious code, or harmful materials.
- Attempt unauthorized access to any account, server, database, system, content, code, or restricted area.
- Use the Platform for fraud, deceptive conduct, unlawful credit repair activity, unlawful financial activity, or activity that violates federal, state, or local law.
- Share, publish, resell, transfer, distribute, or commercially exploit member-only content, videos, reports, workflows, vendor lists, criteria, templates, downloads, or training materials.
11. Third-party websites and services
The Platform may contain hyperlinks or references to websites, vendors, issuers, lenders, banks, bureaus, directories, government sites, payment processors, email providers, analytics tools, and other third parties. We provide such references for convenience and education only. We do not control third-party websites or services and are not responsible for their contents, terms, privacy practices, pricing, availability, approvals, reporting, underwriting, or security.
12. Intellectual property
Unless stated otherwise, the Platform and all content, logos, designs, text, graphics, pictures, information, data, software, videos, audio, downloads, reports, checklists, templates, workflows, scoring logic, matchers, page layouts, and arrangements are owned by Verge Five LLC or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.
We grant you a limited, revocable, non-transferable, non-sublicensable license to use the Platform for your own internal business education while your access is active. No content may be copied, republished, redistributed, sold, licensed, posted publicly, used to train competing systems, or used to create a competing product without written permission.
13. DMCA and intellectual property notices
If you believe content on the Platform infringes your copyright, trademark, or other intellectual property rights, send a notice titled "Infringement of Intellectual Property Rights - DMCA" to /contact/.
Your notice should include: an electronic or physical signature of the person authorized to act for the owner; a description of the work claimed to be infringed; the URL or location of the allegedly infringing material; your name, email address, and mailing address; a statement that you have a good-faith belief that the disputed use is not authorized by the owner, agent, or law; and a statement that the information in your notice is accurate and that you are authorized to act for the owner.
Incomplete notices may not be processed. You may be liable for damages, costs, and attorneys' fees for misrepresentations or bad-faith claims.
14. Availability, errors, and inaccuracies
We may experience delays, errors, outages, missing data, incorrect pricing, unavailable services, outdated information, or inaccuracies in Platform content or advertising. We reserve the right to correct errors, update information, change or discontinue features, cancel transactions affected by error, and modify content at any time without liability.
15. No warranty on purchases and Platform
THE ITEMS, SERVICES, DIGITAL PRODUCTS, CONTENT, REPORTS, SCANS, TOOLS, AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE." NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR ERROR-FREE OPERATION, SHALL APPLY, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.
16. Remedies
Your remedies for any dispute or claim relating to purchases, access, content, or use of the Platform are limited to the dispute resolution and limitation of liability provisions in these Terms. These remedies are intended to be your sole and exclusive remedies to the fullest extent permitted by law.
17. Damages and limitation of liability
IN NO EVENT SHALL VERGE FIVE LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO, DISPLAY OF, RELIANCE ON, OR USE OF THE PLATFORM, OR DELAY OR INABILITY TO ACCESS OR USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO RELIANCE ON OPINIONS OR INFORMATION, COMPUTER VIRUSES, LINKED WEBSITES, THIRD-PARTY PRODUCTS OR SERVICES, DENIED CREDIT, LOST FUNDING, LOST APPROVALS, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR THIRD-PARTY DECISIONS, WHETHER BASED ON NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, CONSUMER PROTECTION STATUTES, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THIS LIMITATION OF LIABILITY REFLECTS THE ALLOCATION OF RISK BETWEEN YOU AND US. THE LIMITATIONS IN THIS SECTION SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF VERGE FIVE LLC ARISING OUT OF OR RELATED TO THE PLATFORM SHALL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY RECEIVED BY VERGE FIVE LLC FROM YOU DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NOTHING.
18. Indemnification
You agree to defend, indemnify, and hold harmless Verge Five LLC and its owners, officers, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Platform, your information, your applications or business decisions, your violation of these Terms, or your violation of law or third-party rights.
19. Governing law, severability, dispute resolution, venue, and class action waiver
These Terms are governed by the laws of North Carolina, United States, without regard to conflict-of-law rules. These Terms shall not be governed by the United Nations Convention on Contracts for the Sale of International Goods, the Uniform Commercial Code, or Incoterms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver.
Any controversy or claim arising out of or relating to these Terms, the Platform, or your use of the Platform shall be resolved in a court of competent jurisdiction in Wake County, North Carolina, unless applicable law requires otherwise. YOU AND VERGE FIVE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
20. Changes to Terms
We reserve the right to make changes to these Terms at any time. We may notify you by posting the updated Terms on the Website, updating the "Last updated" date, or using other reasonable notice. Your continued use of the Platform after changes are posted means you accept the updated Terms.
